4. Intellectual Property (IP)
- All custom solutions, software, or designs created by AxonTrail Solutions remain the property of AxonTrail Solutions until full payment is received.
- Upon full payment, ownership of deliverables will be transferred to the client, unless otherwise agreed in writing.
- Pre-existing tools, libraries, frameworks, or third-party software used in delivery will remain under their respective licenses.
❗ Unauthorized use, distribution, or replication of AxonTrail Solutions’s proprietary tools, code, or branding is strictly prohibited.
5. Confidentiality
- Both parties agree to keep confidential all proprietary information, pricing, and documentation exchanged.
- AxonTrail Solutions may use anonymized project summaries for its portfolio, unless the client objects in writing.
6. Warranty & Limitation of Liability
- AxonTrail Solutions provides a limited 30-day warranty on all deliverables for bug fixes or non-performance after deployment, provided no third-party modifications have been made.
- AxonTrail Solutions is not liable for:
- Loss of business, revenue, or data
- Issues caused by client-side infrastructure, misuse, or unauthorized modifications
- Third-party service failures (hosting, APIs, software dependencies)

7. Cancellations & Termination
- AxonTrail Solutions reserves the right to terminate services:
- For non-payment
- Abuse, misconduct, or unethical behaviour

AxonTrail Solutions is not liable for any failure or delay due to causes beyond our control, including but not limited to acts of God, natural disasters, wars, terrorism, strikes, internet outages, or government restrictions.
9. Dispute Resolution
- Any disputes shall first be resolved amicably through negotiation.
- Failing resolution, the matter shall be submitted to binding arbitration in accordance with the Arbitration & Conciliation Act (India) or equivalent in the client’s jurisdiction.
- Legal proceedings (if any) shall take place in the courts of Kolkata, West Bengal, India, unless agreed otherwise.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of:
- India (for Indian clients and Clients from any other Countries in the world )
Client and AxonTrail Solutions agree to submit to the exclusive jurisdiction of the relevant courts.
11. Changes to Terms
AxonTrail Solutions reserves the right to modify these Terms at any time. Updates will be posted on our website. Continued use of services after changes implies acceptance.
